TERMS OF SERVICE

These terms and conditions ("Terms") govern your use of PairPoint, owned and operated by AsyncOrigins LTD ("PairPoint," "we," "us," or "our"). By using PairPoint, you agree to comply with these Terms. If you do not agree with any part of these Terms, you may not use PairPoint.

1. Introduction

1.1 PairPoint ("PairPoint," "we," "us," "our") is an online platform operated by AsyncOrigins LTD, providing location-based networking and communication services ("Services") to its registered members ("Members," "you," "your"). These Terms govern your use of PairPoint and constitute a legally binding agreement between you and PairPoint.

2. Purpose of the Service

2.1 PairPoint allows users to share their specific location in real-time within a 25-meter radius. Users can adjust their profile visibility as visible, locked, or hidden for comfort and safety. The chosen profile visibility setting in real-time determines how it appears to others initially in the location history. Users can switch between settings (locked, hidden, or visible) at any time in the location history. Each Member is free to interact and build relationships with other Members in accordance with these Terms of Service and applicable laws.

3. Intellectual Property

3.1 Ownership and License: PairPoint is the intellectual property of AsyncOrigins LTD. The PairPoint trademark is exclusively owned by PairPoint and registered with various national and international offices, including the World Intellectual Property Organization, and the European Union Intellectual Property Office.

3.2 License: PairPoint grants the Member a restricted, private, and personal use license. Any other use requires PairPoint’s prior express written authorization. The Member grants PairPoint and its partners a free, non-exclusive, international, and perpetual license to use, reproduce, modify, translate, and display any intellectual property-related content (including text, photos, videos) provided through the Application. This license ensures compatibility with technical requirements and media formats while respecting image rights, personality rights, and privacy laws. The Member retains ownership of all content and personal data provided. The Member indemnifies PairPoint against any claims or legal actions arising from their infringement of third-party intellectual property rights.

4. Duty of Fairness and Honesty

4.1 To remain a Member of PairPoint, you must:

Be honest and truthful in your statements.
Only post photos and profile information that allow easy identification, including at least one clear profile photo.
Refrain from posting confidential information about others or engaging in illegal activities.
Respect the privacy of content and conversations exchanged with other Members.
Comply with intellectual property laws and refrain from disruptive or offensive behaviour.
5. Confidentiality Clause

5.1 Neither PairPoint nor the Member are authorized to disclose information about the agreement between them. Each party agrees to comply with a confidentiality clause requiring them to maintain confidentiality during negotiations and in the event of a dispute.

6. Duty of Caution

6.1 The Member is solely responsible for verifying the identity of individuals with whom they arrange real-life meet-ups. While PairPoint facilitates connections with people you have seen first, members are responsible for their actions when meeting others. PairPoint cannot be held liable for any actions or issues arising from interactions or meet-ups arranged independently by Members through the PairPoint app, whether current or former.

6.2 PairPoint messaging services and the profile visibility settings are designed to empower Members to control who can view their profiles and communicate with them, promoting safety and preventing harassment. It is recommended that Members refrain from disclosing personal information not included in their profiles, such as phone numbers, addresses, or surnames, to individuals they have agreed to message.

6.3 For safety purposes, PairPoint strongly advises arranging real-life meetings in busy public places or informing a friend or relative about the meeting. Members should consider disclosing contact information only after establishing a reasonable level of trust over time.

7. Protection of Personal Data

7.1 PairPoint is committed to protecting your personal data and respecting your privacy. Please read our Privacy Policy and to understand how we process your personal data.

8. Member’s Liability

8.1 Members are solely liable for their actions and the data they publish via the Application. PairPoint is not responsible for any misuse of the Application or interactions between Members.

9. Illegal Conduct

9.1 PairPoint and its partners cannot be held liable for illegal actions or activities conducted by Members, including scams, commercial activities, prostitution, identity theft, infringement of intellectual property or personal rights, and other illegal behaviours.

10. Termination

10.1 Deactivation of the Account by the Member: Members may deactivate their Account through the Application without notice if they no longer wish to be visible. Upon deactivation:

The Member’s profile becomes invisible to other Members.
Legal obligations for data retention remain unaffected.
Reactivation within one year restores the profile with previous details.

10.2 Uninstallation of the Application by the Member: Members may uninstall the Application from their device at any time. Uninstalling the Application:

Does not delete the Member’s Account; it's recommended to delete the Account before uninstalling.
Legal obligations for data retention remain unaffected.
Re-downloading within one year restores the profile with previous details.

10.3 Deletion of the Account by the Member: Members can delete their account at any time via the app or by contacting PairPoint. Upon deletion:

The account and all associated data are permanently deleted from PairPoint.
This action is irreversible, and data cannot be restored.

11. Technical Resources and Security: PairPoint agrees to provide the infrastructure and technical resources to provide a high-quality service to Members with a device running the required operating systems.

11.1 PairPoint cannot be held liable for any operating fault on the Member’s device or for any compatibility issue between the Application and the device. Every effort is made to minimize the risks of fraudulent access to PairPoint’s system. However, it is impossible to fully guarantee the security of a network. PairPoint is not responsible for any failures, interruptions, or poor performance of the Member’s internet provider services or any cause beyond PairPoint’s control which might interrupt or adversely affect access to PairPoint Services.

11.2 The Member must have access to a secure email account. If this precaution is not taken, the Member’s Account may be vulnerable to fraud. PairPoint shall also endeavour to inform Members of any exceptional risk of receiving spam messages or messages claiming to have been sent by PairPoint. Members must be attentive and vigilant to avoid scams and report any suspicious activity to PairPoint by sending an email to dpo@pairpointapp.com.

12. Governing Law

12.1 These Terms are governed by the laws of the United Kingdom, excluding its conflict of law provisions.
